These Terms of Service (“Terms”) govern your participation in Sentinel’s professional network that connects skilled Service Providers with quality-focused Service Requesters for commercial building repairs (“Sentinel” or the “Network”). For the purposes of these Terms, “we” or “us” refers to Sentinel, and “you” refers to any professional member of our network.

At Sentinel, we believe skilled craftspeople and quality-focused property professionals deserve better than the broken systems plaguing our industry. These Terms establish the professional standards that make our network different.
By joining Sentinel, you agree to uphold these professional standards. If you don’t share our commitment to excellence, our network isn’t the right fit.
Where plain language summaries appear in this document, they are provided for convenience only. In the event of any conflict or ambiguity between a plain language summary and the formal legal language, the formal legal language controls.
Sentinel connects Service Requesters who need reliable commercial building repairs with skilled Service Providers who take pride in professional excellence. We specialize in repairs under $500 — the “broken door knob” work that others overlook but we know matters enormously.
Our systematic approach eliminates the inefficiencies plaguing our industry. Service Requesters simply request the work they need, and qualified Service Providers complete it within a Not To Exceed (NTE) limit of $500. If work will cost more than $500, providers get approval before proceeding. This streamlined process — refined over 25 years — saves everyone time while ensuring quality.
We use proprietary technology to match requests with the right providers based on skills, location, availability, and proven track record. Our platform handles communication, documentation, and payments so professionals can focus on what they do best.

You can join as a Service Requester if you own, manage, or are authorized to arrange repairs for commercial buildings. We welcome property managers, facility managers, and building owners who value professional service over the lowest price.
Property owners and managers can install unique QR codes at their properties to allow tenants to request services. When tenants scan these codes, all orders link to the property owner’s account. The account holder remains responsible for all charges and NTE approvals, regardless of who initiated the request.
You can join as a Service Provider if you’re a licensed professional with the skills, insurance, and commitment to excellence that defines our network. You must maintain all required licenses and insurance throughout your membership.
You must be at least 18 years old and authorized to enter into contracts. If representing a business, you must have authority to bind that business to these Terms. We verify credentials because professional networks require professional standards. If we find false information or if you’ve been removed from Sentinel before, you cannot rejoin without our permission.

Submit detailed service requests including scope, timeline, and property information. Our vetted Service Providers will complete work within your Not To Exceed (NTE) limit — no bidding required. Your default NTE is $500, but you can adjust this higher during registration or anytime in your account. If work will exceed your NTE, providers must provide an estimate and receive approval first. Pay securely through our platform upon completion.
Create a detailed profile showcasing your skills, experience, and professional credentials. Receive work orders for repairs that you can complete immediately — no bidding, no racing to the bottom on price. For work exceeding $500, provide professional estimates and obtain approval before proceeding. Get paid promptly through our secure system.
SERVICE PROVIDERS ARE INDEPENDENT CONTRACTORS AND NOT EMPLOYEES, AGENTS, JOINT VENTURERS, OR PARTNERS OF SENTINEL. SENTINEL DOES NOT DIRECT OR CONTROL THE MANNER IN WHICH SERVICE PROVIDERS PERFORM SERVICES. SERVICE PROVIDERS ARE SOLELY RESPONSIBLE FOR ALL TAXES, WITHHOLDING, SOCIAL SECURITY, UNEMPLOYMENT INSURANCE, AND ALL OTHER OBLIGATIONS AND LIABILITIES ARISING FROM THEIR INDEPENDENT CONTRACTOR STATUS. NOTHING IN THESE TERMS SHALL BE CONSTRUED TO CREATE A PARTNERSHIP, JOINT VENTURE, AGENCY, FRANCHISE, OR EMPLOYMENT RELATIONSHIP.
We facilitate professional connections using technology refined over 25 years of systematic service delivery. We are not party to the actual service contracts between Service Providers and Service Requesters, but we maintain the professional standards that make our network exceptional.

Requesters get professional service without bidding hassles. Providers get steady work at fair prices without administrative nightmares. We handle the systems so professionals can focus on professional work. Providers are independent contractors, not Sentinel employees.
Perform all work in a professional, workmanlike manner meeting industry standards and local codes. Maintain required licenses and insurance as detailed below. Communicate clearly and promptly. Complete work within agreed timelines and NTE limits unless receiving prior approval. Provide professional estimates when work exceeds established limits.
All Service Providers must maintain minimum insurance coverage throughout network membership. Provide current certificates before your first service request. Maintain continuous coverage and provide updated certificates annually.
Required Coverage:
All Service Providers must maintain current compliance with immigration, citizenship, and labor laws, including valid work authorization. Providers must maintain a clean professional record free from convictions for crimes that would compromise trust, including crimes of violence or assault, theft or financial fraud, drug manufacturing or trafficking, sexual offenses or crimes against minors, and any outstanding warrants. We may periodically reverify to maintain network integrity.

Professional networks require professional protection and professional people. We verify credentials, authorization to work, and professional background standards because every member deserves confidence in their fellow professionals.
All payments flow through Sentinel’s secure system. Service Requesters pay us, we pay Service Providers promptly. This protects everyone and ensures proper documentation.
Service Providers pay 5% for completed projects. Service Requesters pay 5% for completed projects. No hidden charges, no surprises.
Payment Example: For $100 work, the Service Provider invoices $100, nets $95 after our 5% fee. The Service Requester pays $105 total ($100 + 5% fee).
Service Requesters are charged upon work completion confirmation. We then pay Service Providers within 48 hours, minus our platform fee, contingent on Sentinel receiving and retaining cleared funds from the Service Requester.
If a Service Requester initiates a chargeback, payment reversal, or dispute with their payment provider, Sentinel reserves the right to: (a) suspend the Service Requester’s account pending investigation; (b) withhold or recover the corresponding Service Provider payment if funds are reversed; and (c) pursue recovery of Sentinel’s platform fees and associated costs. Service Requesters agree not to initiate chargebacks for work properly performed and accepted. The 48-hour payment guarantee to Service Providers is contingent on Sentinel receiving and retaining cleared funds.
If payment disputes arise, we work with both parties to resolve them fairly and quickly. We may hold payments during legitimate quality or completion disputes, but our goal is always swift, fair resolution.

Both sides invest 5% in a system that eliminates payment hassles, ensures quality, and treats professionals with respect. Providers get paid in 48 hours when jobs are done right. Initiating a chargeback for completed work is a violation of these Terms.
When you post project details, photos, reviews, or other content on Sentinel, you retain ownership of your content while granting Sentinel a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, display, and distribute it for network operations, quality improvement, and marketing purposes.
All data generated by or through the Sentinel platform — including matching algorithms, service completion data, pricing data, provider performance data, aggregated usage patterns, and systematic processes — is the sole and exclusive property of Sentinel. Members have no ownership rights in platform-generated data. Sentinel’s proprietary matching technology, software, trade secrets, and systematic processes are protected intellectual property. Nothing in these Terms transfers any ownership of Sentinel’s intellectual property to members.
Post only accurate information and content you have rights to share. No false, misleading, or inappropriate content. Provide honest, constructive reviews and ratings. Fake reviews or rating manipulation violate our professional standards and are grounds for immediate removal.

Sentinel provides its platform “as is” and “as available” while maintaining rigorous professional standards. We screen providers, verify credentials, and maintain systematic quality processes, but the actual professional relationships and services are between network members. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SENTINEL, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT SENTINEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SENTINEL’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO SENTINEL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00). THIS LIMITATION APPLIES EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

You agree to defend, indemnify, and hold harmless Sentinel and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with:
Sentinel reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree not to settle any such matter without Sentinel’s prior written consent.

You can leave our network anytime through your account settings. We may suspend or remove members who violate the Prohibited Conduct provisions in Section 8, these Terms, or applicable laws. Except where immediate suspension is required to protect the safety or integrity of the network, we provide appropriate notice and opportunity to respond.
When membership ends, the following provisions survive termination: payment obligations, content licenses, intellectual property ownership, indemnification, limitation of liability, dispute resolution, and any other provisions that by their nature should survive.

Contact our support team first for any issues. We’re committed to resolving problems fairly and quickly. Most issues can be resolved through direct communication.
For disputes we cannot resolve through support, the parties agree to submit to binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, except as modified herein. The arbitration will be conducted by a single arbitrator. The arbitration will take place in Wilmington, Delaware, or via video conference at either party’s election. The arbitrator’s award will be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.
YOU AND SENTINEL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE, THEN THE ENTIRETY OF THE ARBITRATION AGREEMENT SHALL BE NULL AND VOID.
AAA filing fees will be allocated per AAA’s Consumer Arbitration Rules. Each party bears its own attorneys’ fees except where an award of fees is required by applicable law or the arbitrator finds a claim was frivolous.

Talk to us first — we want to solve problems professionally. If we can’t work it out, we’ll use AAA arbitration instead of courts, and always as individuals, not class actions.
Sentinel shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, war, terrorism, civil unrest, government action or regulation, labor disputes, internet outages, cyberattacks, or third-party service failures. In such events, Sentinel’s obligations will be suspended for the duration of the force majeure event. Sentinel will use reasonable efforts to notify affected members and resume normal operations as quickly as practicable.
Sentinel reserves the right to modify, suspend, or discontinue any feature or aspect of the platform at any time, with or without notice, without liability to you or any third party. Sentinel may modify its fee structure upon 30 days’ written notice to registered members.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action not subject to arbitration under Section 12 shall be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you hereby consent to personal jurisdiction and venue in such courts.
We may update these Terms periodically. We will provide at least 30 days’ notice of material changes before they take effect, via email to the address registered on your account. Your continued use of the platform after the effective date of any update constitutes your acceptance of the updated Terms. If any provision of these Terms becomes unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision does not waive our right to enforce it in the future.
